Venue and Event Centre Management Engagement Agreement

A twelve month venue management and event programme relationship including a six month trial, with individual bookings confirmed by separate event orders.

Draft template — complete all fields and schedules and review for the selected jurisdiction before signing.

1 Legal parties

Contracting entity: [verified full legal name, registration number and address], carrying on business as RIDM Production™, a subsidiary of DMC Communications™ (“RIDM”). Counterparty: [legal name, registration or identification details, address and notice email]. Effective date: [ ]. RIDM signatory: [authorized representative; proposed Paul Augustus Hay, authority to be confirmed]. Brand names alone do not replace identification of the legal contracting entity.

2 Twelve month term and six month trial

Start date [ ]; end date [ ]. Total engagement is 12 months, with the first six months included as the trial. A joint review occurs before the trial ends. During trial either party may terminate on 14 days’ written notice, a proposed notice period to confirm. Unless trial termination notice is given, the agreement continues for the remaining six months. Renewal requires a signed agreement; there is no automatic extension.

3 Venue appointment and services

Venue operator, approved premises, territory and event types [ ]. Select exclusive or nonexclusive appointment [ ]. RIDM provides the agreed artist sourcing, event planning, booking coordination, production management, campaign and reporting services. Service standards, frequency, approvals and budgets [ ]. Venue retains operational control. RIDM may not bind Venue to artist fees, sponsorship, capital spending or debt without written authority.

4 Programme and individual event approval

Agree the event calendar, blackout dates, target frequency, contacts, campaign milestones and approval limits. Every performance requires artist acceptance and an approved event order with date, capacity, fee, payment, cancellation, rider and production responsibilities. Proposed calendars and reservation requests remain provisional until confirmed.

5 Venue fees and commercial schedule

Venue retainer, production charges or event revenue participation must be negotiated [amount, currency, taxes and base]. No venue-wide 30% fee is implied. RIDM Promotions receives 10% Promotional Advertising Charges for each event night, calculated on the venue’s bar revenue or ticket-sales revenue where applicable, as specified in the event agreement. Where both categories are included, the agreement identifies them separately and the same sale is counted once. This is the same 10% promotional advertising charge, not an additional duplicate ticket-sales charge. Venue booking instalments, participant registration fees and the weekly group contribution are accounted for separately. Each event order specifies the revenue basis, sales report, adjustments, recipient and payment date. Artist-facing covered management, booking, promotion, fan-club-generated tour and RIDM co-produced media shares are 30% RIDM / 70% Artist. RIDM-produced or reproduced physical merchandise is 70% RIDM / 30% Artist. Artist shares do not determine Venue charges or entitlements.

6 Budgets and monthly review

Each budget specifies ticket and sponsor collectors, expenditure approvals, gross or net revenue definition, deductions, taxes, refunds and settlement deadlines. No overrun or reimbursement is authorized without approval, except an expressly agreed emergency limit [ ]. Issue monthly reports showing completed events, attendance, receipts, expenses and amounts due. State inspection rights and retention period.

7 Rights and permissions

Pre-existing works, artist name and image, designs and recordings remain with their respective owners. Use is limited to expressly approved promotion and services. Recording, livestream, broadcasting, download distribution, reproduction, merchandising, master ownership, territory, term and monetization require a signed schedule identifying each work and permission. Revenue percentages do not themselves transfer copyright or other rights. No blanket moral-rights waiver is included. Obtain third-party clearances before production or release.

8 Records and settlement

Before execution, complete the currency, gross or net revenue base, allowable deductions, taxes, payment deadlines and expense approval limits. No deduction is authorized merely because it is described as customary. Provide itemized receipts, approved costs, refunds, allocated shares and amounts due. Settle undisputed balances within [number] days after [defined trigger]. Refunds and chargebacks reverse the original allocation according to the completed schedule. Relevant records may be reviewed on reasonable notice for [period].

9 Safety and responsibilities

Each party remains responsible for its personnel, assigned duties and losses caused by its own breach or misconduct. The venue or promoter supplies its agreed safe premises, permissions, audience security, accessibility and event licenses; RIDM supplies its agreed coordination or production services. Insurance types, limits and certificates: [ ]. Any liability cap or indemnity must be expressly completed. No party is required to participate in unsafe or unlawful activity.

10 Termination and closeout

After trial, material breach requires notice and 30 days to cure where curable. Unsafe or unlawful activity may be suspended immediately. Any post-trial convenience termination or closeout costs must be expressly completed; no penalty is implied. List accepted future events and agree completion, transfer or cancellation, including artist fees, ticket refunds, sponsor commitments and approved nonrecoverable costs. Reconcile funds, return account access and resolve materials and stock within [number] days. New post-term events require fresh agreement.

11 General terms

Parties act as independent contractors, subject to mandatory local law. No party may bind the other, transfer rights, incur debt or undertake unapproved expenditure without written authority. Notices go to the completed emails and service addresses. Confidential and personal information is used only for agreed services and handled under the completed security and retention schedule. Assignment, material subcontracting and amendments require written consent. Governing law and competent courts: [country and province/state]. Parties first negotiate, then use the agreed mediation procedure [ ].

12 Required schedules

Service plan, 12 month dates, six month trial review, exclusivity, commercial terms, authority matrix, safety duties, insurance, reporting and closeout procedure. Attach accepted event orders, artist approvals, payment and cancellation schedules, riders and permissions as applicable.

13 Execution

Complete all blanks and schedules, confirm authority and obtain jurisdiction-specific review before signing. This is an unexecuted template. An artist application, booking inquiry, typed portal request or uploaded file is not itself a fully executed contract. RIDM must verify execution and any required artist or venue acceptance.
