Promoter and Venue Client Booking Agreement

A client-facing agreement for one artist or event booking, covering confirmation, client payment, premises duties, production permissions and settlement.

Draft template — complete all fields and schedules and review for the selected jurisdiction before signing.

1 Legal parties

Contracting entity: [verified full legal name, registration number and address], carrying on business as RIDM Production™, a subsidiary of DMC Communications™ (“RIDM”). Counterparty: [legal name, registration or identification details, address and notice email]. Effective date: [ ]. RIDM signatory: [authorized representative; proposed Paul Augustus Hay, authority to be confirmed]. Brand names alone do not replace identification of the legal contracting entity.

2 Client and booking particulars

Client promoter or venue legal name [ ]; venue operator if different [ ]; event title and reference [ ]; selected artist [ ]; venue address [ ]; date and local time zone [ ]; licensed audience capacity [ ]. RIDM acts as [authorized agent for named Artist / contracted event producer / other defined capacity]. This choice must be completed before signing.

3 Booking confirmation and scope

Artist availability and acceptance must be confirmed in writing. Client may not advertise a confirmed appearance before acceptance, cleared required deposit and approval of promotional material. A directory calendar or portal request is provisional. Attach sets and performance duration, soundcheck, personnel, stage and production scope, ticketing, timetable, technical and hospitality rider. Material changes require written acceptance by affected parties.

4 Client fees and payment

Booking price [amount and currency]; taxes [ ]; deposit [amount and due date]; balance [amount and due date]; separate disclosed production and promotional charges [ ]; approved expenses [ ]. Pay only the verified contractual recipient against the stated invoice. RIDM’s internal Artist allocation does not create an additional Client charge. For each live public event, a separate 10% royalty or bonus from ticket sales is payable on behalf of the MC and services, additional to all other expenditures, charges and operational expenses. Complete the recipient, ticket-sales calculation basis, reporting and payment dates in the event schedule.

5 Promoter and venue duties

Client supplies assigned licensing, ticket administration, safe capacity, stage and equipment, audience security, accessibility, hospitality and local permissions. Where Client does not operate the venue, obtain the operator’s written acceptance of the premises and production requirements. Provide sales and attendance records when fee calculations require them. Parties may suspend immediate material safety risks.

6 Rights and permissions

Pre-existing works, artist name and image, designs and recordings remain with their respective owners. Use is limited to expressly approved promotion and services. Recording, livestream, broadcasting, download distribution, reproduction, merchandising, master ownership, territory, term and monetization require a signed schedule identifying each work and permission. Revenue percentages do not themselves transfer copyright or other rights. No blanket moral-rights waiver is included. Obtain third-party clearances before production or release.

7 Merchandise and co-produced media

When RIDM supplies licensed physical merchandise, attach products, quantities, pricing, sales location, collection, taxes, unsold stock and reconciliation. Artist-facing RIDM shares are 70% RIDM / 30% Artist for RIDM-produced or reproduced physical merchandise and 30% RIDM / 70% Artist for authorized RIDM co-produced downloads and promotional media. These allocations do not grant Client a share or define Client charges. Client compensation, if any, requires a separate written schedule.

8 Cancellation and customer refunds

Complete terms for Client cancellation, artist unavailability, venue closure, nonpayment and approved rescheduling, including deposit treatment, approved unrecoverable costs and mitigation. State responsibility for ticket refunds and customer notices in compliance with applicable requirements. No default nonrefundable deposit or blanket cancellation penalty is supplied.

9 Records and settlement

Before execution, complete the currency, gross or net revenue base, allowable deductions, taxes, payment deadlines and expense approval limits. No deduction is authorized merely because it is described as customary. Provide itemized receipts, approved costs, refunds, allocated shares and amounts due. Settle undisputed balances within [number] days after [defined trigger]. Refunds and chargebacks reverse the original allocation according to the completed schedule. Relevant records may be reviewed on reasonable notice for [period].

10 Safety and responsibilities

Each party remains responsible for its personnel, assigned duties and losses caused by its own breach or misconduct. The venue or promoter supplies its agreed safe premises, permissions, audience security, accessibility and event licenses; RIDM supplies its agreed coordination or production services. Insurance types, limits and certificates: [ ]. Any liability cap or indemnity must be expressly completed. No party is required to participate in unsafe or unlawful activity.

11 General terms

Parties act as independent contractors, subject to mandatory local law. No party may bind the other, transfer rights, incur debt or undertake unapproved expenditure without written authority. Notices go to the completed emails and service addresses. Confidential and personal information is used only for agreed services and handled under the completed security and retention schedule. Assignment, material subcontracting and amendments require written consent. Governing law and competent courts: [country and province/state]. Parties first negotiate, then use the agreed mediation procedure [ ].

12 Required schedules

Attach artist acceptance, event order, payment dates, technical and hospitality rider, premises approval, production responsibility, insurance, rights and cancellation schedules. This single booking does not create ongoing representation or exclusivity. Additional events require separate accepted orders.

13 Execution

Complete all blanks and schedules, confirm authority and obtain jurisdiction-specific review before signing. This is an unexecuted template. An artist application, booking inquiry, typed portal request or uploaded file is not itself a fully executed contract. RIDM must verify execution and any required artist or venue acceptance.
