Artist Management and Representation Agreement

A three to five year artist relationship including a six month trial, with RIDM’s management and production revenue shares.

Draft template — complete all fields and schedules and review for the selected jurisdiction before signing.

1 Legal parties

Contracting entity: [verified full legal name, registration number and address], carrying on business as RIDM Production™, a subsidiary of DMC Communications™ (“RIDM”). Counterparty: [legal name, registration or identification details, address and notice email]. Effective date: [ ]. RIDM signatory: [authorized representative; proposed Paul Augustus Hay, authority to be confirmed]. Brand names alone do not replace identification of the legal contracting entity.

2 Term and six month trial

Select the total term: [3 years] [4 years] [5 years]. Start date [ ]; end date [ ]. The initial six months are the trial and are included in, not added to, the total term. A joint review occurs before the six month anniversary. During trial either party may terminate on 14 days’ written notice, a proposed notice period to confirm. If no trial termination notice is given, the selected total term continues. Renewal requires a signed written agreement.

3 Appointment and services

Select covered activities: music, DJ services, special events, birthday events, other performers, performances, tours, models, fashion, film, video, production and merchandising [ ]. Territory [ ]; exclusivity [exclusive / nonexclusive]; excluded existing contracts [ ]. Incomplete scope or exclusivity fields must be resolved before execution. RIDM may negotiate proposals but Artist’s written acceptance is required for each engagement. Services include an agreed management plan, booking and promotional coordination, packaging, social media support, and three artist pages for profile, media and fan club, and bookings. A shareable mobile web app supports promotion and reservations. Production, advertising, tour and film work require an approved budget and delivery schedule; no minimum income or placement is promised.

4 Artist obligations

Artist supplies accurate biographies, authorized photographs and media, social links, availability, clearances and agreed promotional participation. Artist discloses conflicting obligations and unavailable dates promptly. Confirmed work requires an accepted event order and rider. RIDM may not accept endorsements or incur Artist debt without approval. Approved Artist accounts may publish their own confirmed venue and event listings, authorized promotional media and ticket links, and share them through their social pages. Artist must keep dates accurate and mark changes or cancellation promptly. Independently booked events are identified separately; listing alone does not establish RIDM agency or a commission entitlement.

5 Professional artist packages and payment schedule

Listings, website representation and promotional services only: CAD $500 total, payable upfront. Full professional artist representation, including booking, promotion and branding: CAD $2,000 total, with registration included.

For full representation, Artist pays a CAD $500 deposit at registration to cover system setup, artist websites, fan-club setup and related communications. The remaining CAD $1,500 is payable in 12 equal monthly instalments of CAD $125, beginning one month after registration. Complete the registration date [ ] and each monthly due date in the payment schedule. No separate registration fee is added to the full package.

The selected package is [listings/website/promotions only / full representation]. Complete deliverables, service commencement, milestones, refund and cancellation policy, and treatment of any interrupted payment plan. No interest, automatic debit or late fee is authorized by this template. Package fees remain separate from and do not replace the existing residual income and revenue allocations in sections 6 and 7. Payment alone does not execute a representation agreement.

Artist income and first-payment reconciliation

Under the executed representation agreement, RIDM may reserve and apply verified fan-club, performance and engagement-booking income payable to the artist toward the unpaid package fee before releasing the remaining artist income. The artist may also make additional payments from earned revenues to complete the package early.

Calculate the artist’s payable share under the existing revenue-sharing agreement first. Apply that share to the earliest unpaid package amounts, including future instalments as prepayment, without counting the same receipt twice or collecting more than the remaining package balance. Itemized statements show the income, revenue allocation, package credit, remaining balance and amount available for release. Any unpaid remainder continues to fall due on the original payment schedule; income that has not been earned or received does not count as payment.

6 Commercial allocation

Covered administrative management, bookings and promotions: RIDM 30% / Artist 70%. Tour revenue generated through Artist fan clubs: RIDM 30% / Artist 70%. Music downloads and promotional media created, produced or co-produced by RIDM under an approved schedule: RIDM 30% / Artist 70%. Physical merchandise produced or reproduced by RIDM under an approved merchandise schedule: RIDM 70% / Artist 30%. Allocate one receipt to one category without stacking a second commission. Unrelated income and pre-existing independently produced releases or merchandise are excluded unless expressly added. Membership subscriptions themselves require a separate allocation; the tour provision does not allocate the monthly fan subscription fee.

7 Records and settlement

Before execution, complete the currency, gross or net revenue base, allowable deductions, taxes, payment deadlines and expense approval limits. No deduction is authorized merely because it is described as customary. Provide itemized receipts, approved costs, refunds, allocated shares and amounts due. Settle undisputed balances within [number] days after [defined trigger]. Refunds and chargebacks reverse the original allocation according to the completed schedule. Relevant records may be reviewed on reasonable notice for [period].

8 Rights and permissions

Pre-existing works, artist name and image, designs and recordings remain with their respective owners. Use is limited to expressly approved promotion and services. Recording, livestream, broadcasting, download distribution, reproduction, merchandising, master ownership, territory, term and monetization require a signed schedule identifying each work and permission. Revenue percentages do not themselves transfer copyright or other rights. No blanket moral-rights waiver is included. Obtain third-party clearances before production or release.

9 Production and merchandise schedules

For each product or co-production identify works, contributors, new master or design ownership, creative approval, licensed reproduction, channels, territory, duration, inventory, selling price and approved cost treatment. Physical merchandise cannot be reproduced without the relevant rights holder’s permission. Define unsold stock, returns, defects and disposition at termination. Any assignment or exclusive rights grant must be separately expressed and signed.

10 Termination and closeout

After trial, material breach requires written notice and 30 days to cure where curable. Unsafe or unlawful activity may be suspended immediately. Any convenience exit after trial, minimum service commitment or early exit payment must be expressly agreed; none is implied. Earned fees remain payable. Accepted future bookings must be completed, transferred or cancelled in writing. Post-term commission is limited to identified contracts procured and accepted during the term until cutoff [date]; no indefinite commission is granted. Reconcile funds, return Artist-owned content and account access, and resolve licensed inventory within [number] days.

11 General terms

Parties act as independent contractors, subject to mandatory local law. No party may bind the other, transfer rights, incur debt or undertake unapproved expenditure without written authority. Notices go to the completed emails and service addresses. Confidential and personal information is used only for agreed services and handled under the completed security and retention schedule. Assignment, material subcontracting and amendments require written consent. Governing law and competent courts: [country and province/state]. Parties first negotiate, then use the agreed mediation procedure [ ].

12 Required schedules

A: selected term, dates, six month review, scope, territories, exclusivity, excluded contracts, service standards, termination and liability terms. B: revenue base, permissible deductions, budgets, reporting, settlement and any fan subscription allocation. C: specific productions, merchandise rights, ownership and inventory. No blanket rights transfer results from the percentage table.

13 Execution

Complete all blanks and schedules, confirm authority and obtain jurisdiction-specific review before signing. This is an unexecuted template. An artist application, booking inquiry, typed portal request or uploaded file is not itself a fully executed contract. RIDM must verify execution and any required artist or venue acceptance.
